As of January 22, 2010, there were 10,257 holders of record of the Corporation’s Common Stock.

Common Stock:

150,000,000 shares authorized, $.50 par value, 61,645,196 and 60,092,726 outstanding as of December 31, 2009 and 2008,

respectively.

Preferred Stock:

5,000,000 shares authorized, without par value, no shares outstanding as of December 31, 2009 and 2008.

The Corporation has paid consecutive quarterly dividends on its Common Stock since 1937. Future dividends will depend upon the

Corporation’s earnings, financial condition, and other factors. The Credit Facility, as more fully described in Note 8 of Notes to

Consolidated Financial Statements included in Item 8 of Part II of this report, does not restrict the Corporation’s ability to pay regular

dividends in the ordinary course of business on the Common Stock. Under the terms of the definitive merger agreement to create

Stanley Black & Decker, absent the consent of The Stanley Works, the Corporation has agreed to limit its regular quarterly cash

dividend to $.12 per share.
