(e) all obligations of such Person as lessee under Capitalized Leases;

(f) all obligations, contingent or otherwise, of such Person in respect of acceptances, letters of credit

or similar extensions of credit;

(g) all obligations of such Person in respect of Hedge Agreements, valued at the Agreement Value

thereof;

(h) all obligations of such Person to purchase, redeem, retire, defease or otherwise make any payment

in respect of any Mandatorily Redeemable Stock, valued at the greater of (i) its voluntary or involuntary liquidation

preference and (ii) the aggregate amount payable therefor upon purchase, redemption, defeasance or payment

therefor;

(i) all Indebtedness of other Persons referred to in clauses (a) through (h) above or clause (j) below

guaranteed directly or indirectly in any manner by such Person, or in effect guaranteed directly or indirectly by such

Person through an agreement (i) to pay or purchase such Indebtedness or to advance or supply funds for the payment

or purchase of such Indebtedness, (ii) to purchase, sell or lease (as lessee or lessor) property or assets, or to purchase

or sell services, primarily for the purpose of enabling the debtor to make payment of such Indebtedness or to assure

the holder of such Indebtedness against loss, (iii) to supply funds to, or in any other manner to invest in, the debtor

(including any agreement to pay for property, assets or services irrespective of whether such property or assets are

received or such services are rendered) or (iv) otherwise to assure a creditor against loss; and

(j) all Indebtedness referred to in clauses (a) through (i) above secured by (or for which the holder of

such Indebtedness has an existing right, contingent or otherwise, to be secured by) any Lien on property and assets

(including, without limitation, accounts and contract rights) owned by such Person, even though such Person has not

assumed or become liable for the payment of such Indebtedness.

"Indemnified Party" has the meaning specified in Section 9.04(b).

"Increase Date" has the meaning specified in Section 2.19(a).

"Increasing Lender" has the meaning specified in Section 2.19(d).

"Information" has the meaning specified in Section 9.09.

"Initial Borrowers" has the meaning specified in the recital of parties to this Agreement.

"Initial Issuing Banks" has the meaning specified in the recital of parties to this Agreement.
