"Existing Credit Agreement" means that certain Five Year Credit Agreement dated as of October 29, 2004 among
the Company, Black & Decker Holdings Inc., the banks party thereto, Citibank, as Administrative Agent, J.P. Morgan
Securities Inc., as Documentation Agent, and Bank of America, N.A., BNP Paribas and Commerzbank AG, as
Co-Syndication Agents, as amended, supplemented or otherwise modified through the date hereof.
"Extension Date" has the meaning specified in Section 2.17(b).
"Facility Fee" has the meaning specified in Section 2.04(a).
"Federal Funds Rate" means, for any period, a fluctuating interest rate per annum equal for each day during such
period to the weighted average of the rates on overnight federal funds transactions with members of the Federal Reserve
System arranged by federal funds brokers, as published for such day (or, if such day is not a Business Day, for the
immediately preceding Business Day) by the Federal Reserve Bank of New York, or, if such rate is not so published for any
day that is a Business Day, the average of the quotations for such day on such transactions received by the Administrative
Agent from three federal funds brokers of recognized standing selected by it.
"Financial Statements" means, with respect to any Person at any date of determination:
(a) the financial statements of such Person and its Subsidiaries included in the quarterly report of
such Person on Form 10-Q or the annual report of such Person on Form 10-K, as the case may be, for the period
ended on such date, in each case as filed with the Securities and Exchange Commission pursuant to the Securities
Exchange Act of 1934, as amended, and including all financial statements of such Person and its Subsidiaries
incorporated by reference therein; or
(b) if there is no quarterly report of such Person on Form 10-Q or annual report of such Person on
Form 10-K, as the case may be, for the period ended on such date, a consolidated balance sheet of such Person and
its Subsidiaries as at such date and consolidated statements of earnings and cash flow of such Person and its
Subsidiaries for the period ended on such date and for the period commencing at the end of the immediately
preceding fiscal year of such Person and ending on such date, setting forth in each case in comparative form the
corresponding figures as of the end of and for the corresponding period in the immediately preceding fiscal year of
such Person and the corresponding figures as of the end of and for the corresponding year-to-date period in the
immediately preceding fiscal year of such Person, all in reasonable detail.
"Foreign Borrower" means BDL, BDLF or any Designated Subsidiary organized under the laws of a jurisdiction
outside of the United States that becomes a Borrower hereunder.
